Licence Agreement

Last updated . The terms on which Stamp Social Ltd licenses the Inkwell software to you.

This Licence Agreement sits alongside the Terms of Use; where they overlap, read them together.

1. This licence

This Licence Agreement is between you and Stamp Social Ltd (company number 17188757, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ). When you buy Inkwell, you do not buy the software itself; you buy a licence to use it on the terms below. We keep ownership of the software at all times.

2. What you may do

We grant you a personal, non-exclusive, non-transferable licence to install and use Inkwell for your own use. The licence has no end date for version 1: once you have bought it, you may keep using version 1 of Inkwell for as long as you wish, subject to these terms.

3. The two-computer limit

Your licence lets you install and activate Inkwell on up to two computers that you own or control at the same time. Your licence key tracks how many computers are active. If you want to move Inkwell to a new computer, you can free up a slot from within the app's licence panel, or by contacting us, and then activate the new machine. We use a one-way fingerprint of each computer purely to count active installations; it does not identify you to anyone else and it carries none of your files.

4. Personal use, not commercial redistribution

You may use Inkwell for your own personal and everyday work, including your own professional documents. What you may not do is share, rent, lend, resell or sublicense the software or your licence key to anyone else, or use one licence to provide a service to multiple people as if they each held a licence. If you want to roll Inkwell out across a team or organisation, contact us and we will help you license it properly.

5. The licence is non-transferable

Your licence is tied to you and cannot be transferred or sold on to another person. If your circumstances change, contact us and we will do what we reasonably can to help.

6. Free updates within version 1

Your purchase includes all updates to version 1 of Inkwell at no extra cost, for as long as we maintain version 1. "Version 1" means the first major release line of Inkwell and its point updates (for example 1.1, 1.2 and so on). A future major version, such as a version 2 that adds substantial new capability, may be offered as a separate paid upgrade. You are never required to buy it, and your version 1 licence keeps working.

Inkwell includes third-party open-source components, each used under its own licence. Those licences continue to apply to those components and nothing in this agreement overrides them. Details are available on request.

9. Warranty and the limits of it

Where you are a consumer, you have statutory rights under the Consumer Rights Act 2015, including that digital content be of satisfactory quality, fit for purpose and as described. We do not exclude or limit those rights.

Beyond those rights, and to the fullest extent the law permits, Inkwell is licensed "as is" and we give no further warranties, express or implied. In particular, because Inkwell uses an AI model, we do not warrant that its output is accurate, complete or fit for any specific decision; you should review it before relying on it. Inkwell never changes your original files without your confirmation, and we recommend you keep your own backups.

10. Liability

Our liability under this licence is as set out in the Terms of Use. In short, we do not exclude liability where the law forbids it (including for death or personal injury caused by our negligence, for fraud, or for your non-excludable statutory rights), and subject to that we are not liable for losses that were not reasonably foreseeable or for business losses.

11. Ending the licence

This licence lasts until it ends. It ends automatically if you breach it in a way that is serious or that you do not put right after we ask. We may also end it for the reasons set out in the Terms of Use. On ending, you must stop using Inkwell and remove it from your computers. Your statutory refund and cancellation rights are unaffected and are explained in the Refund and Returns Policy.

12. Governing law

This licence is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory consumer-protection rights you have where you live in the United Kingdom.
